1. Wie zijn wij en voor wie geldt dit

Deze voorwaarden gelden tussen Martine Hulscher Horeca, handelend onder de naam SommelierX, Groesbeekseweg 152H, 6524 DN Nijmegen, KvK 98951092, btw-id NL005363720B98 ("SommelierX", "wij") en de webshop die een abonnement op de SommelierX-widget afsluit ("de winkel", "je"). 2. De dienst

Wij leveren een of meer SommelierX-widgets voor de website van de winkel (zoeken, samenstellen, smaak en productblok). De widgets tonen wijnen uit het eigen assortiment van de winkel, met wijn-spijsadvies. Bij het plan Growth wordt de winkel daarnaast in de SommelierX-app genoemd bij haar wijnen, onder "Online te koop bij", in de landen waar de winkel levert.

3. Plannen, prijzen en proefperiode

Starter: EUR 9 per maand. Growth: EUR 29 per maand. Alle prijzen zijn exclusief btw.
Bij het afsluiten heb je 14 dagen om de dienst uit te proberen. Je vult daarbij je betaalgegevens in bij Stripe Checkout. Zeg je vóór het einde van die 14 dagen op, dan wordt er niets afgeschreven. Anders start het betaalde abonnement automatisch na 14 dagen.
Per winkel is één proefperiode mogelijk.

4. Looptijd en opzeggen

Het abonnement is maandelijks en wordt automatisch verlengd. Je kunt elke maand opzeggen. De opzegging gaat in aan het einde van de lopende betaalde maand. Voor een begonnen maand krijg je geen geld terug.

5. Betaling en facturen

Betaling en facturen lopen via Stripe. Btw berekenen we via Stripe Tax. Een zakelijke klant in een andere EU-lidstaat met een geldig btw-nummer krijgt een factuur met btw verlegd. Winkels op Shopify betalen via Shopify Billing onder de voorwaarden van Shopify; deze voorwaarden gelden daarnaast voor de dienst zelf.

Mislukt een betaling, dan proberen we het opnieuw. Gedurende 14 dagen blijft de widget werken. Lukt de betaling dan nog niet, dan pauzeren we de dienst.

6. Pauze en beëindiging

Bij een pauze of beëindiging toont de widget geen wijnen, alleen: "Deze wijnhulp is tijdelijk niet beschikbaar." Wij bewaren je gegevens en instellingen nog 90 dagen en verwijderen ze daarna. Hervat je het abonnement binnen die termijn, dan staat alles weer klaar.

7. Wat wij tonen en wie waarvoor verantwoordelijk is

Ons wijn-spijsadvies komt voort uit onze eigen regels en gegevens.
De winkel bepaalt welke van haar wijnen worden aangeboden.
Wij mogen producten weigeren of verbergen die geen wijn zijn of die niet wettelijk getoond mogen worden.
De winkel is zelf verantwoordelijk voor haar productgegevens, prijzen, voorraad, leeftijdscontrole (NIX18 en de wettelijke minimumleeftijd) en voor de verkoop zelf. De verkoop is een overeenkomst tussen de winkel en haar klant, niet met ons.

8. Account en gebruik

De winkel geeft juiste bedrijfsgegevens op (bedrijfsnaam, btw-nummer, adres). Stripe Checkout vraagt die op. Eén account per winkel. Wij mogen het account opschorten bij misbruik of niet-betaling.

9. Aansprakelijkheid

De dienst wordt geleverd zoals hij is. Wij garanderen geen hogere verkoop of een bepaald resultaat. Onze aansprakelijkheid is beperkt tot het bedrag dat de winkel de laatste 12 maanden aan ons heeft betaald. Wij zijn niet aansprakelijk voor indirecte schade, zoals gederfde winst. Bij overmacht (een gebeurtenis buiten onze invloed, zoals een storing bij een hostingpartij) zijn wij niet in gebreke. Deze beperkingen gelden niet bij opzet of bewuste roekeloosheid.

10. Persoonsgegevens: rollen

Voor de gebruiksstatistieken van de widget op de site van de winkel (vertoningen, zoekopdrachten) is SommelierX verwerker en de winkel verantwoordelijke. Wij verwerken daarbij geen persoonsgegevens van bezoekers, behalve wat in ons privacybeleid (sommelierx.com/privacy) staat, zoals het land uit het IP-adres zonder het IP-adres te bewaren.
Voor de account- en betaalgegevens van de winkel zelf (contactpersoon, bedrijfsgegevens, Stripe-gegevens) is SommelierX zelf verantwoordelijke.

11. Verwerkersovereenkomst (kort)

Voor het deel waarin wij verwerker zijn:

Onderwerp en doel: tonen van de widget en meten van het gebruik, uitsluitend in opdracht van de winkel.
Duur: zolang het abonnement loopt, plus de bewaartermijn uit artikel 6.
Soorten gegevens: technische gebruiksgegevens (vertoningen, zoekopdrachten, landcode); geen gevoelige gegevens.
Beveiliging: passende technische en organisatorische maatregelen, toegang alleen waar nodig, versleutelde verbindingen.
Subverwerkers: hosting (Vercel, Railway, Neon) en betalingen (Stripe). Een nieuwe subverwerker melden we vooraf per e-mail.
Datalek: wij melden een datalek bij ons binnen 48 uur nadat we het ontdekken aan de winkel.
Einde: na afloop verwijderen we de gegevens, tenzij de wet bewaren vraagt.
De winkel mag op verzoek informatie krijgen waaruit blijkt dat wij deze afspraken nakomen.

12. Prijswijzigingen

Wij kondigen een prijswijziging minstens 30 dagen vooraf per e-mail aan. Je mag opzeggen vóórdat de wijziging ingaat.

13. Aanvaarding en wijziging van de voorwaarden

Door het vakje aan te vinken in Stripe Checkout aanvaard je de geldende versie van deze voorwaarden. Wij leggen vast wie welke versie wanneer aanvaardde. Wijzigen we de voorwaarden, dan melden wij dat minstens 30 dagen vooraf per e-mail.

14. Toepasselijk recht

Nederlands recht is van toepassing. Geschillen gaan naar de bevoegde rechter van de Rechtbank Gelderland.

1. Who we are and who this applies to

These terms apply between Martine Hulscher Horeca, trading as SommelierX, Groesbeekseweg 152H, 6524 DN Nijmegen, the Netherlands, Chamber of Commerce (KvK) 98951092, VAT ID NL005363720B98 ("SommelierX", "we") and the web shop that subscribes to the SommelierX widget ("the shop", "you"). 2. The service

We provide one or more SommelierX widgets for the shop's website (search, builder, taste and product block). The widgets show wines from the shop's own assortment, with wine-and-food pairing advice. On the Growth plan the shop is also listed in the SommelierX app next to its wines, under "Buy online at", in the countries the shop delivers to.

3. Plans, prices and trial period

Starter: EUR 9 per month. Growth: EUR 29 per month. All prices exclude VAT.
When you subscribe you have 14 days to try the service. You enter your payment details at Stripe Checkout at that point. If you cancel before the 14 days end, nothing is charged. Otherwise the paid subscription starts automatically after 14 days.
One trial per shop.

4. Term and cancellation

The subscription is monthly and renews automatically. You can cancel any month. Cancellation takes effect at the end of the current paid month. A month that has started is not refunded.

5. Payment and invoices

Payment and invoices run through Stripe. We calculate VAT via Stripe Tax. A business in another EU member state with a valid VAT number receives an invoice with VAT reverse-charged. Shops on Shopify pay through Shopify Billing under Shopify's terms; these terms also apply to the service itself.

If a payment fails, we retry. For 14 days the widget keeps working. If payment still fails, we pause the service.

6. Pause and end of service

While paused or after cancellation the widget shows no wines, only a notice that the wine assistant is temporarily unavailable. We keep your data and settings for 90 days and delete them afterwards. If you resume within that period, everything is ready again.

7. What we show and who is responsible for what

Our pairing advice comes from our own rules and data.
The shop decides which of its wines are offered.
We may decline or hide products that are not wine or that may not legally be shown.
The shop is responsible for its own product data, prices, stock, age checks (NIX18 and the legal drinking age) and the sale itself. The sale is a contract between the shop and its customer, not with us.

8. Account and use

The shop provides correct business details (company name, VAT number, address), which Stripe Checkout collects. One account per shop. We may suspend the account in case of abuse or non-payment.

9. Liability

The service is provided as is. We do not guarantee increased sales or any particular result. Our liability is capped at the amount the shop paid us in the last 12 months. We are not liable for indirect damages such as lost profit. We are not in breach in a case of force majeure (an event beyond our control, such as an outage at a hosting provider). These limits do not apply in case of intent or deliberate recklessness.

10. Personal data: roles

For widget usage statistics on the shop's site (impressions, searches), SommelierX is the processor and the shop is the controller. We process no personal data of visitors beyond what our privacy policy (sommelierx.com/privacy) states, such as the country derived from the IP address without storing the IP address.
For the shop's own account and billing data (contact person, company details, Stripe data), SommelierX is the controller.

11. Data processing terms (short)

For the part where we act as processor:

Subject and purpose: showing the widget and measuring its use, only on the shop's instructions.
Duration: for as long as the subscription runs, plus the retention period in article 6.
Types of data: technical usage data (impressions, searches, country code); no sensitive data.
Security: appropriate technical and organisational measures, access only where needed, encrypted connections.
Sub-processors: hosting (Vercel, Railway, Neon) and payments (Stripe). We announce a new sub-processor in advance by email.
Breach: we notify the shop of a personal data breach within 48 hours of discovering it.
End: at the end we delete the data, unless the law requires keeping it.
On request the shop may receive information showing that we comply with these terms.

12. Price changes

We announce a price change at least 30 days in advance by email. You may cancel before it takes effect.

13. Acceptance and changes to the terms

By ticking the box in Stripe Checkout you accept the version of these terms in force. We record who accepted which version and when. If we change the terms, we announce it at least 30 days in advance by email.

14. Governing law

Dutch law applies. Disputes go to the competent court of the District Court of Gelderland (Rechtbank Gelderland).
